Introduction
Please read these Terms and Conditions (“Terms and Conditions”, “T+C”, the “Agreement”). This agreement is between you (“you”) and Urgent VOICE, LLC (“we”, “Urgent VOICE”, “UV”, “our”), a New Hampshire corporation providing merchandise sales, mechanism to donate, goods, websites, and services for advertising, marketing, data management and engagement (the “Services”).

The following terms and conditions of use, plus our privacy policy govern your use of the Services. By using the Services, you are agreeing to be bound by the Terms and Conditions in their entirety. If you (client, donor, supplier, investor) disagree with these Terms of Services or any part of these Terms of Services, you must not use the Services.

Description of the Services
We provide individuals, businesses and other organizations with commercial advertising services. We also provide users with access to certain services that amplify the Voice of Individuals, Communities, and Environment, and encourage users to vote with specific issues in their heart and soul to effect real-world change through the democratic process for the common good. UV funds adverts by selling merchandise, advertisement opportunities, and accepting donations. UV reserves the sole right to determine the issues that are advocated and apportion donations as best, including, but not limited to the specific dates issues are advocated. Users should note that our adverts are not part of, or authorized by, any candidate or candidate’s committee, but are approved by an Advisory Council to ensure the issue-advocacy adverts match declared objectives — this gives the power to you and enables you to be a powerful Ally. We do not make contributions to any candidates or political parties. Our business model is to activate advocacy campaigns as fast as possible; this requires us to retain the right to commit all cleared funds. To enable this, we do not provide refunds, returns, or exchanges. We do, however value clients’ positive endorsements – and seek to ensure you are thrilled with your merchandise and experience with us.

Merchandise
All sizes and graphics on merchandise are approximate. The final product will be representative – not an exact match – of what you see on screen. Additional variance will occur due to monitors, color profile and proportionality between variety of sizes in your order. We make every effort to provide fair and accurate descriptions of all goods and services to educate client and donors prior to submitting their non-cancelable orders.

Delivery
We strive for great service. UV retains the right to ship by a service of our choice. We want you to enjoy your merchandise and experience and understand great service will encourage you to recommend us to friends, family, and business associates.
When ordering merchandise for delivery outside of the USA you may be subject to import duties and taxes, which are levied once the package reaches the specified destination. Any additional charges for customs clearance and other handling charges must be paid by you. Customs policies vary widely from country to country, so you should contact your local customs office for further information. Additionally, please note that when ordering from us, you are considered the importer of record and must comply with all laws and regulations of the country in which you are receiving the products, duties and taxes.

Charges or Donations
Where we charge for access to goods and services, or accept donations, the following conditions apply:

• At our discretion, payment may be required either upfront or in-arrears
• Payment will be deemed to have been made when the payment is either (a) cleared funds in our bank account, or (b) cleared funds in our PayPal account (or other such payment system which we may specify).
• All orders are subject to availability.
• Actual numbers of adverts shown upon payment may vary according to market rates.
• UV reserves the right at any time to cancel, substitute or modify the goods or Services. UV shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Services.
• The prices displayed on our properties are quoted in U.S. Dollars and are subject to change at any time. As a convenience to you, prices may also be quoted in other currencies. We reserve the right to refuse any order you place with us.
• Payments are non-refundable

User-generated content
In these terms of use, “your user content” means material that you submit to us by any means, for whatever purpose, or tag us on public websites or social media. Your user content must not be illegal or unlawful, must not infringe any third party’s legal rights, and must not be capable of giving rise to legal action whether against you or us or a third party (in each case under any applicable law). You must not submit any user content to the us that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint. We reserve the right to edit or remove any material submitted to us, or stored on our servers, or hosted or published upon our website. We do not undertake to monitor the submission or the publication of user content on and from our website.

Indemnity
You hereby indemnify us and undertake to keep us indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute on the advice of our legal advisers) incurred or suffered by us arising out of any breach by you of any provision of these Terms of Services, or arising out of any claim that you have breached any provision of these Terms of Services. Except as set out in any UV Service Level Agreement, you understand and agree that UV shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if UV has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.

Disclaimer of Warranties
The UV website and any goods or services (including campaigns) made available through or in conjunction with UV properties are provided to you “AS IS” without any warranties of any kind, whether express, implied or statutory. You agree that you must evaluate, and that you bear all risks associated with, the use of the UV properties, including any reliance on the accuracy, completeness of any or usefulness of any materials available through our properties. UV and its affiliated entities disclaim all warranties with respect to our properties and any goods or services (including third party goods and services) obtained through the site, to the fullest extent permissible under applicable law, including the warranties of merchantability, fitness for a particular purpose, noninfringement, and title.

Variation
UV reserves the right to update and change the Terms of Services from time to time. Continued use of the Services after changes have been made in the Terms of Services shall constitute your consent to the latest version of the Terms of Services. Any new features that enhance the current Services, including the release of new goods, services, and resources, shall be subject to the Terms of Services.

Assignment
You understand that UV uses third-party vendors and hosting partners to provide the necessary technology and merchandise required to provide the Services. UV may transfer, sub-contract or otherwise deal with our rights and/or obligations under these terms of use. These terms of use are for the benefit of you and us and are not intended to benefit any third party or be enforceable by any third party. The exercise of our and your rights in relation to these terms of use is not subject to the consent of any third party

Severability
If a provision of these terms of use is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect. The failure by us to enforce at any time or for any period any one or more of the clauses set out here shall not be a waiver of them or of the right at any time subsequently to enforce all terms and conditions of this agreement. This Agreement is effective until terminated. UV, in its sole discretion, may terminate your access to or use of our properties or this Agreement, at any time and for any reason, including if UV believes that you have violated or acted inconsistently with the letter or spirit of this Agreement. Upon any such termination, your right to use our services will immediately cease.

Law and jurisdiction
This Agreement is governed by and shall be construed in accordance with the laws of the State of New Hampshire, without regard to its principles of conflicts of law. You agree to exclusive jurisdiction of the state and federal courts (located in Portsmouth, New Hampshire and Concord, New Hampshire respectively) and You consent to the exclusive jurisdiction of such courts in any such action or proceeding and waive any objection to venue laid therein.
The services are controlled and operated by UV from the United States and are not intended to subject UV to the laws or jurisdiction of any state, country, or territory other than that of the United States. UV does not represent or warrant that the property or any part thereof is appropriate or available for use in any particular jurisdiction other than the United States. In choosing to access UV services you do so on your own initiative and at your own risk, and you are responsible for complying with all local laws, rules and regulations. You are also subject to United States export controls and are responsible for any violations of such controls, including any United States embargoes or other federal rules and regulations restricting exports. We may limit services, in whole or in part, to any person, geographic area or jurisdiction we choose, at any time and in our sole discretion.

Ability to enter into this agreement
UV is designed for and targeted to individuals who are at least 18 years of age and organizations that are primarily owned by individuals who are at least 18 years of age. In order to use UV services, you must be 18 years of age or older, or, if you are not, that you have obtained parental or guardian consent to enter into this Agreement.

Finance
You understand UV is a commercial entity. Contributions are not tax-deductible for federal income tax purposes. We understand our mechanism is less common but assure you we are dedicated to ensuring contributions are put to work fast to gain maximum impact for issue advocacy. Thank you for your trust and participation to enable positive impact.

Personal Information and other information submitted through our properties
Your submission of personal information to UV is governed by our Privacy Policy. This Agreement incorporates by reference the terms and conditions of the Privacy Policy.
